The Exit Blueprint: How the Anka-CrossBoundary Deal Validates Mini-Grid Bankability

CrossBoundary Access, the finance platform for renewable energy generation, and ANKA, a mini-grid developer, have completed the acquisition of an asset company owning four operational mini-grids developed, built, and operated by ANKA in Madagascar.

The deal was structured as a project finance acquisition, wherein Cross Boundary Access assumed the role of majority shareholder while ANKA retained a minority stake as the long-term operator. This acquisition is the first phase of the $20 million partnership announced by Access and ANKA in June 2025.

The acquired asset company manages a portfolio concentrated in the Atsimo-Andrefana region with 1.7 MW of Solar PV and 5.6 Mwh of battery storage. The project currently serves thousands of customers, intending to reach 62,000 via the $20 million partnership.

Unlocking the Financing Stack: The Exit Proof Point

For institutional investors, the most notable aspect of this transaction is the successful exit of early-stage investors. Kalinka Invest, Realize Impact, and Green Squirrel Ventures all achieved a profitable exit from the operational mini-grid platform.

This provides evidence for a clear capital pathway in the sector.

1. Transitioning from Venture to Infrastructure Risk: In the traditional energy infrastructure model, the highest risk occurs during development and construction phases, but in this deal, early-stage venture capital and concessional funds absorb these frontier risks, such as technical delays or initial demand uncertainty.

2. Solving the Liquidity Bottleneck: By executing a profitable exit for these initial backers, CrossBoundary Access has provided the market with a liquidity signal.

3. Initializing Developer Platform Partnerships: The transaction structure that retained the developer as a minority shareholder and long-term operator establishes a replicable framework for corporate to platform partnerships.

Market Outlook and Corporate Finance Implications

The significance of this transaction lies in its ability to redefine the market outlook for decentralized energy across sub-Saharan Africa.

1. Shifting the Corporate Finance Paradigm: This transaction has the potential of moving the sector beyond the constraints of project-by-project funding and toward a platform level corporate finance model. It demonstrates that when operational execution meets institutional ambition, the developer itself becomes a highly investable entity.

2. Establishing Benchmarks for Scale and Liquidity: This deal proves that decentralized infrastructure can achieve the scale, liquidity, and profitability that investors seek. It provides a replicable roadmap for other geographies, suggesting that standardized structures can attract high volume capital necessary for universal energy access.

3. A Strategic Market Signal: This acquisition is more than an isolated exit; it is a clear market signal that mini-grid sector has achieved the operational maturity required for commercial returns. The ability of a developer to act as a trusted counterpart in this deal suggests that the bankability gap is closing and the market is ready for transition.

Furthermore, the regulatory and licensing risk remains a critical bottleneck. While Madagascar’s established framework supported the success of this deal, other country markets conditions can prevent assets like this from reaching the operational maturity needed for a profitable exit.
